BY-LAW NUMBER TWONOHA BOARD AND THEIR DUTIES B.2.1.
The Officers and Council Directors will form the Board of Directors of the NOHA.
The Officers shall be Immediate Past President, President, First Vice-President,
Second Vice-President, Third Vice-President, and Executive Director. All
with the exception of Past Presidents and Executive Director to be elected
bi-annually by ballot in even years.
The President
All elected officers forming the Board of Directors and named Council Directors
shall be nominated by a team, club or NOHA Board Director in good standing in
the NOHA. The Directors shall be nominated to represent the District they are
resident in. Should only one nomination be received for a District, that
Director shall be deemed to be acclaimed. Should no nominations for a District
be received, the Board may, at its discretion, appoint a Director in
consultation with the teams and clubs in the District. Only members from the
District shall be entitled to vote for the Director that will represent the
District. Sitting members of the NOHA Board of Directors, NOHA Past Presidents,
NOHA Life Members and the NOHA Director of Officials shall be entitled to vote
for the Director in the District where they reside only. In case of a tie vote,
the scrutineers will advise the NOHA President who will cast the deciding vote.
In districts that are represented by a Vice-President, there will also be a
Council Director elected. If necessary, a Director may be appointed to that area
by the Executive in consultation with the teams and clubs in the District.
Council Directors to be elected bi-annually by ballot.
In the event that a Vice-President resigns or leaves the NOHA Board through the
course of their term (2 year term), the Executive of the NOHA has the right to
appoint someone to fill this position from present Board Members. Criteria will
be based on interest and experience on the Board. A vacancy in the
position of Council Director will require nominations from Teams/Associations in
that District. The nominations must be in the hands of the Executive Director four (4) weeks before the Annual Meeting. B.2.1(A). The office of President, 1st Vice President, 2nd Vice
President and 3rd Vice President shall be elected for a two year term. Council Directors for Districts 1, 3, 5, 7 and 9 will be elected on odd years for a two (2) year term and Council Directors for Districts 2, 4, 6 and 8 will be elected for a two (2) year term on even years. B.2.2. The President may, at his/her discretion, appoint a Special Committee at any time which they deem will be beneficial to the NOHA. No one shall be eligible to stand for election to the office of President, or any Vice Presidency, unless having served at least one year within the previous three years as a member of the Board of Directors. The Executive Director and the Council Directors (where necessary) will be appointed at the Association's 1st Executive meeting, following the Annual Meeting. This meeting to be called by the President. B.2.3. Anyone letting their name stand for Officer or Council Director, may do so for a maximum of two positions only. Nominated persons are to be advised by the Executive Director so that they can advise which positions they are interested in prior to publication of the AGM meeting material. A Council Director who is in mid term can accept nomination for only one Officer position. B.2.4. Members of the Board of Directors, other than Life Members, must be resident within the NOHA territory. B.2.5. The President shall preside at all Annual Meetings, Board of Directors Meetings and any General Meeting. The President shall generally perform the duties usual to the office of President and may at his/her discretion, order the calling of meetings of the NOHA, or its committees, and may call a meeting on requisition of three members of the Board of Directors. B.2.6. The President shall have power to suspend, until dealt with, the card of any player, coach, manager, team or club official, for unsportsmanlike conduct on or off the ice, for abusive language to any of the officials, or for alleged infraction of the amateur definition. The President shall have the power to impose such suspension in respect to any incident which may occur in exhibition games, as well as regularly scheduled games. Such suspension shall remain in effect until dealt with by the Board of Directors of the NOHA. The President shall also deal with all suspensions as provided for in the rules of the game. B.2.7. The President of the NOHA shall be the official representative of the NOHA on the Executive Committee of the OHF. NOTE: The retiring President, unless defeated in the election at the immediate preceding NOHA Annual Meeting, shall continue as a member of the Executive Committee of the NOHA until June 30th following the expiry of his/her term as President. B.2.8. If the President of the NOHA is not able to attend any meeting of the OHF Executive, he/she may send an alternate, who must be a member of the Board of Directors. B.2.9. The First Vice-President, in the absence of the President, shall have all the powers and perform all the duties of the President. The Second Vice-President, in the absence of the First Vice President, shall have all the powers and perform all the duties of the First Vice-President. The Third Vice-President, in the absence of the Second Vice-President, shall have all the powers and perform all the duties of the Second Vice-President. B.2.10. The powers and duties of the Board of Directors during its term of office shall be: A) To conduct the business of the NOHA authorizing all expenditures in connection therewith. B) To fill any vacancies which may occur in the Board of Directors. The names of those proposed for the vacancies to be sent to each member of the Board of Directors one week before the election. C) To amend or alter the by-law and regulations, and interpret their intent. D) To issue or revoke certificates without notice of such action. E) To hear appeals and determine all protests. F) To fine, suspend or expel a team or club, team or club official or player for notorious and continued foul play, or unfair, unsportsmanlike conduct, individually or collectively, on the ice, or in any rink where a hockey match is being played, or at any meeting or gathering in the interests of the game; negligence to pay assessments; or for any persistent infringement of the laws of the game or the rules of the NOHA. In reference to section F), prior to any fine, the team or club, team or club officials or player will be given sufficient notice of the pending disciplinary hearing or discussion so that the team or club, team or club officials or player may make representation to the NOHA Board of Directors. G) To suspend or expel any team or club or player refusing to accept or obey the ruling of the Board of Directors. H) To re-admit by resolution and a majority vote of the Board of Directors, any team or club, coach, manager, team or club official, or player under suspension. I) To accept or reject any entry, and to place teams in divisions, categories and groups or leagues in accordance with item R.1.2. of the NOHA Regulations. J) To enter into any agreement with independent leagues in the Northern Ontario Hockey Association area relative to recognition of suspensions or other regulations that it considers to be in the best interest of hockey in our territory. K) To arrange the competitions, which shall be played until one team in each series (category within a division) is declared the winner. L) To determine all questions arising from emergencies not provided for in the regulations, or in the rules of competition. Forty-eight (48) hours of notice of the hour and place appointed for the consideration of such questions shall be given by the Executive Director of the NOHA to each team concerned. M) No members of the Board of Directors shall be eligible to serve on the Board of Directors or on any committees in connection with any protest or question involving, directly or indirectly, the team or club representing the community it represents, nor shall any member of the Board of Directors be eligible to vote on any question raised by or affecting the team, club or affiliates representing the community he/she represents. N) Members of the Board of Directors shall neither be eligible to officiate at games involving NOHA teams nor hold office as a signed card holder of any NOHA team and shall not be an elected or appointed Board Member of any Association, team, club or league within the NOHA. O) To provide for a television and broadcasting committee, whose duties shall be to receive applications for permission for the television, cable television or radio broadcasting of any game or any part thereof. Conditions for granting such, permission shall be set down by this committee and available upon request from the Executive Director. P) The President will appoint one member of the Board of Directors as Chairman of the Referees’ Committee. The Referees’ Committee in conjunction with the District Board of Director member will appoint a Referee-in-Chief for each district. All On-Ice Officials will be registered upon the recommendation of the District Referee-in-Chief and pay an annual registration fee set by the Board of Directors. Q) Expense rates for the travel and meals of Executive Members to attend meetings or functions on behalf of the NOHA shall be set as follows: PRESIDENTIAL HONORARIUM - $600/month CAR TRAVEL RATE - CAR TRAVEL RATE - Mileage rate is variable and will fluctuate as per mileage formulas outlined in Fixed Mileage Rate and Variable Mileage Rate formulas as listed in Appendix. This will be calculated four times per year – January, April, August and October PER DIEM MEAL RATE - $45.00/day PER DIEM MEAL RATE (OUTSIDE NOHA TERRITORY) - $60.00/day ACCOMMODATIONS - as invoiced by Motel/Hotel R) All Past Presidents of the NOHA residing in Ontario shall be the advisory members of the Board of Directors. They shall be invited to attend all Board of Directors Meetings during the year, at their expense and may take part in the Board of Directors Meetings, but have no vote. They shall have the rights of delegates at the Annual General Meetings, including the right to vote and their expenses paid by the Association. B.2.11. REMOVAL OF DIRECTORS The Executive Members of the Northern Ontario Hockey Association may, by resolution passed by at least two-thirds (2/3) of the votes cast at a general meeting of which notice specifying the intention to pass such a resolution has been given, remove any Director or Officer before the expiration of his term of office, for any intentional violation of the letters patent, by-laws or rules and regulations of the corporation, for refusing to accept and obey any lawful ruling of the Board or for behaviour which is unacceptable for a member of the Board of Directors of the corporation and which tends to bring into disrepute the sport of hockey, the NOHA or its Member Clubs/Associations and may by a majority of the votes cast at that meeting, elect in his stead for the remainder of his term anyone qualified to be a Director or Officer pursuant to By-Law B.2.10(B) B.2.12. SUSPENSION OF OFFICERS / DIRECTORS The Board of Directors may, by resolution passed at a duly constituted meeting of the Board of Directors by at least two thirds (2/3) of the Directors then in office, suspend any Officer or Council Director, for a time period not to extend beyond the next Annual General Meeting, for any intentional violation of the Letters Patent, By-Laws or Rules and Regulations of the Corporation, for refusing to accept and obey any lawful ruling of the Board or for behaviour which is unacceptable for a member of the Board of Directors of the Corporation and which tends to bring into disrepute the sport of hockey, the Northern Ontario Hockey Association or any of its Member Clubs/Associations. B.2.13 Should a Council Director, due to illness or work commitments, be unavailable to attend meetings (3 consecutive) or complete his duties the Board after consultation with the associations and/or teams in the affected District may appoint an alternate to serve out the term or period of vacancy. The alternate will have the privileges of the absentee Council Director until either he/she can return or there is an election opportunity at an AGM. |
